OVERVIEW

This website is operated by ROKU Prints, a trading name of ROKU Films, established at H.J.E. Wenckebachweg 100, 1114 AD Amsterdam-Duivendrecht, the Netherlands, registered with the Dutch Chamber of Commerce (Kamer van Koophandel) under number 64916987 and holding VAT identification number NL002314492B07. Throughout the site, the terms “we”, “us” and “our” refer to ROKU Prints. Our Privacy policy forms part of these terms.

ROKU Prints offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

By visiting our site and/or purchasing something from us, you engage in our Service and agree to be bound by these Terms of Service (the Terms), including those additional terms and policies referenced herein or available by hyperlink. These Terms apply to all users of the site, including without limitation browsers, vendors and customers.

These Terms do not affect your mandatory statutory rights as a consumer under Dutch and European Union law. Where any provision of these Terms conflicts with those mandatory rights, your statutory rights prevail.

We reserve the right to update, change or replace any part of these Terms by posting updates to this page. It is your responsibility to check this page periodically. Changes do not apply to orders that have already been placed.

SECTION 1 - ONLINE STORE TERMS

By agreeing to these Terms, you represent that you are at least the age of majority in your country of residence, or that you are the age of majority and have given us your consent to allow any of your minor dependents to use this site.

You may not use our products for any illegal or unauthorised purpose, nor may you, in the use of the Service, violate any laws in your jurisdiction, including but not limited to copyright law. You must not transmit any worms or viruses or any code of a destructive nature. A breach of any of the Terms will result in immediate termination of your access to the Service.

SECTION 2 - GENERAL CONDITIONS

We reserve the right to refuse service to anyone for any reason at any time.

You understand that your content, not including payment card information, may be transferred unencrypted and involve transmissions over various networks and changes to conform to technical requirements of connecting networks or devices. Payment card information is always encrypted during transfer over networks.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service or access to the Service without our express written permission.

SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION

We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon as the sole basis for making decisions. Any reliance on the material on this site is at your own risk.

We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site.

SECTION 4 - PRICES AND CHANGES TO THE SERVICE

Prices for our products are subject to change without notice. The price applicable to your order is the price displayed at the moment you place that order.

All prices shown to consumers in the European Union include Dutch value added tax (BTW) unless stated otherwise at checkout. For deliveries outside the European Union, import duties, taxes and customs charges levied by the destination country are not included in the price and are payable by the recipient.

We reserve the right at any time to modify or discontinue the Service, or any part of it, without notice. We shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service.

SECTION 5 - PRODUCTS

Our products are art prints produced on demand. We have made every effort to display the colours and images of our products as accurately as possible. We cannot guarantee that your screen displays colour accurately, and minor variations in colour, paper tone and trimming of a few millimetres are inherent to the printing process and do not constitute a defect.

Frames shown in product photography are for illustration only and are not included unless explicitly stated.

We reserve the right to limit the quantities of any products that we offer and to discontinue any product at any time.

SECTION 6 - ORDERS, PAYMENT AND PRODUCTION

An agreement is concluded once we confirm your order by email. We reserve the right to refuse or cancel any order, in which case any payment already made is refunded in full.

Payment is made at the time of ordering, using the payment methods offered at checkout. Payments are processed by our payment service providers; we do not store your full payment card details.

Our prints are produced on demand by a professional print partner and dispatched directly to you. Production normally begins within one to two business days after your order is confirmed.

You agree to provide current, complete and accurate purchase and account information. We are not responsible for orders that cannot be delivered because of an incorrect or incomplete address supplied by you.

SECTION 7 - SHIPPING AND DELIVERY

Stated production and delivery times are estimates, not guarantees. For consumers in the European Union we deliver within the period stated at checkout and in any event no later than thirty (30) days after the agreement is concluded, unless a different period has been agreed. If we cannot meet that period, you may cancel the order and receive a full refund.

The risk of loss or damage passes to you at the moment you, or a third party designated by you, take physical possession of the goods.

SECTION 8 - RIGHT OF WITHDRAWAL (HERROEPINGSRECHT)

If you are a consumer resident in the European Union, you have the right to withdraw from your purchase within fourteen (14) days of receiving the goods, without giving any reason. This right follows from Book 6 of the Dutch Civil Code (Burgerlijk Wetboek), implementing Directive 2011/83/EU on consumer rights.

To exercise this right, inform us of your decision by an unambiguous statement sent to robert@rokufilms.com before the withdrawal period expires. You then have a further fourteen (14) days to return the goods.

During the withdrawal period you must handle the goods with care. You are only liable for any diminished value resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the goods.

The direct cost of returning the goods is borne by you unless we state otherwise. We reimburse all payments received from you, including the standard cost of delivery, without undue delay and no later than fourteen (14) days after we are informed of your decision, using the same means of payment you used. We may withhold reimbursement until we have received the goods back or you have supplied proof of dispatch.

SECTION 9 - CONFORMITY AND LEGAL GUARANTEE

We deliver products that conform to the agreement, to the specifications stated in the offer and to reasonable requirements of soundness and usability. If a product is defective, damaged in transit or otherwise does not conform, you have the statutory rights available to you under Dutch law, including repair, replacement, a price reduction or dissolution of the agreement. Contact us at robert@rokufilms.com within a reasonable period after discovering the defect, with photographs where possible, and we will resolve it at no cost to you.

SECTION 10 - COMPLAINTS

Complaints about the performance of the agreement should be described fully and clearly and sent to robert@rokufilms.com. We respond within fourteen (14) days of receipt. If a complaint requires a longer processing time, we confirm receipt within that period and indicate when you can expect a substantive answer.

SECTION 11 - INTELLECTUAL PROPERTY

All designs, artwork, images, text, logos and other material on this site are owned by ROKU Prints or its licensors and are protected by Dutch copyright law (Auteurswet), European Union law and international treaties including the Berne Convention.

Buying a print gives you ownership of the physical object only. It does not transfer any copyright or other intellectual property right. You may not reproduce, scan, resell as a reproduction, or use our designs for commercial purposes without our prior written permission.

SECTION 12 - COMMENTS, FEEDBACK AND OTHER SUBMISSIONS

If you send us creative ideas, suggestions, proposals or other material, whether at our request or not, you agree that we may edit, copy, publish, distribute, translate and otherwise use that material in any medium, without restriction and without compensation. We are under no obligation to keep such material confidential or to respond to it.

You agree that your submissions will not violate any right of any third party, and will not contain unlawful, abusive or obscene material. You are solely responsible for any comments you make and their accuracy.

SECTION 13 - PERSONAL DATA

Your submission of personal information through the store is governed by our Privacy policy. We process personal data in accordance with the General Data Protection Regulation (GDPR / AVG) and the Dutch GDPR Implementation Act (Uitvoeringswet AVG). You have the right to access, rectify, erase, restrict and port your data and to object to processing; requests can be sent to robert@rokufilms.com. You also have the right to lodge a complaint with the Dutch Data Protection Authority (Autoriteit Persoonsgegevens).

SECTION 14 - ERRORS, INACCURACIES AND OMISSIONS

Occasionally there may be information on our site that contains typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times or availability. We reserve the right to correct such errors and to change or update information, or cancel an order, if any information was inaccurate, including after you have submitted your order. Where an order is cancelled for this reason, any payment made is refunded in full.

SECTION 15 - PROHIBITED USES

In addition to other prohibitions set out in these Terms, you are prohibited from using the site or its content: for any unlawful purpose; to solicit others to perform or take part in unlawful acts; to violate any international, European, national or local regulations, rules or laws; to infringe our intellectual property rights or those of others; to harass, abuse, insult, harm, defame, intimidate or discriminate; to submit false or misleading information; to upload or transmit viruses or any other malicious code; to collect or track the personal information of others; to spam, phish, pretext, spider, crawl or scrape; for any obscene or immoral purpose; or to interfere with or circumvent the security features of the Service. We may terminate your use of the Service for breaching any of these prohibitions.

SECTION 16 - DISCLAIMER AND LIMITATION OF LIABILITY

We do not guarantee that your use of our Service will be uninterrupted, timely, secure or error-free. We may remove the Service for indefinite periods or cancel it at any time without notice.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for intent or wilful recklessness, or for any other liability that cannot lawfully be excluded or limited under Dutch law. Subject to that, our total liability arising out of or in connection with an order is limited to the amount you paid for that order, and we are not liable for indirect or consequential loss.

SECTION 17 - INDEMNIFICATION

You agree to indemnify and hold harmless ROKU Prints and our contractors, agents and suppliers from any claim or demand, including reasonable legal fees, made by a third party arising out of your breach of these Terms or your violation of any law or the rights of a third party.

SECTION 18 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable part shall be deemed severed from these Terms without affecting the validity of the remaining provisions.

SECTION 19 - TERMINATION

Obligations and liabilities incurred prior to the termination date survive termination of this agreement for all purposes. These Terms are effective unless and until terminated by either you or us. You may terminate them at any time by notifying us that you no longer wish to use our Services, or simply by ceasing to use our site.

SECTION 20 - ENTIRE AGREEMENT

These Terms and any policies posted by us on this site constitute the entire agreement between you and us and govern your use of the Service, superseding any prior agreements. Any ambiguity in the interpretation of these Terms shall not be construed against the drafting party.

SECTION 21 - ASSIGNMENT

You may not delegate, transfer or assign this agreement or any of your rights or obligations under these Terms without our prior written consent. We may transfer, assign or delegate these Terms and our rights and obligations, provided this does not diminish your statutory rights.

SECTION 22 - GOVERNING LAW AND COMPETENT COURT

These Terms and any separate agreements under which we provide you Services are governed by and construed in accordance with the laws of the Netherlands, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). Any dispute shall be submitted to the competent court of Amsterdam, the Netherlands.

If you are a consumer, this choice of law and forum does not deprive you of the protection of mandatory provisions of the law of your country of habitual residence, and you retain the right to bring proceedings before the courts of that country.

You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms by posting updates to our website. Your continued use of the site after changes are posted constitutes acceptance of those changes. Changes do not apply to orders already placed.
